Terms of sale
1. Scope
These terms apply to every quotation issued by and every order accepted by Computer Modules Inc., also trading as DVEO ("Computer Modules", "we"), for hardware, software and related services. They take precedence over any terms on a buyer's purchase order unless we have agreed otherwise in writing. Last updated 21 October 2026.
2. Quotations
Nothing on this website is an offer to sell. A quotation is an offer to sell the goods described in it, at the price and on the terms stated in it, and it is valid for the period stated on its face. If no period is stated, it is valid for 14 days from issue. Prices for GPUs and GPU systems move with manufacturer pricing and currency and we may withdraw or revise a quotation before acceptance. Quotations are in US dollars and exclude taxes, duties, freight and insurance unless the quotation says otherwise.
3. Orders and payment
An order is confirmed when we receive a purchase order referencing the quotation, together with the deposit stated on the quotation, and we issue an order confirmation. Deposits on configured systems and allocation products are non refundable once components have been ordered or allocation has been secured on your behalf, because those commitments cannot be reversed with the manufacturer. The balance is due as stated on the quotation, normally before shipment. Title passes on receipt of payment in full; risk passes on delivery to the carrier unless the quotation states delivered terms. Late payment accrues interest at 1.5 percent per month or the maximum rate permitted by law, whichever is lower.
4. Allocation and availability
Data center GPUs and systems that carry them are allocation products. Their availability depends on the manufacturer's allocation to our supply partners at the time of the order. We state the expected delivery window in the order confirmation and keep you informed of changes. A delivery date is an estimate, not a guarantee, and a change to it does not entitle the buyer to cancel unless the delay exceeds 90 days beyond the confirmed window and the buyer has given written notice. Manufacturers may change specifications, revisions and firmware without notice; we supply the current revision of the class quoted.
5. Export control and registration
Goods sold under these terms are subject to the US Export Administration Regulations and, where applicable, to NVIDIA end user registration requirements. The buyer must supply accurate end user, end use and destination information, confirm that the goods will not be re-exported, transferred or accessed in breach of US law, and complete any end user certification we request. We may suspend or cancel an order, without liability, if a compliance check cannot be completed satisfactorily. The plain English summary is on the export compliance page.
6. Delivery and acceptance
We ship from San Diego by the method and carrier stated on the quotation. The buyer inspects goods on delivery and reports visible damage or shortage within 5 business days; latent defects are handled under warranty. Where the buyer requests a hold on shipment beyond 30 days after readiness, storage charges apply and the balance becomes due as if shipped.
7. Warranty and support
The manufacturer's warranty on each component passes through to the buyer in full, and Computer Modules handles claims on the buyer's behalf during the warranty term stated on the quotation. In addition, Computer Modules warrants that systems it integrates are assembled with reasonable skill and care and pass the acceptance tests described on the services page at shipment, as recorded in the acceptance report. Our sole obligation under this warranty is to repair or replace the affected item. The warranty does not cover damage from misuse, unauthorized modification, operation outside the manufacturer's environmental limits, or software and data. Except as stated here, all warranties, express or implied, including merchantability and fitness for a particular purpose, are excluded to the extent the law allows.
8. Returns
Configured and allocation products are not returnable except under warranty. Unopened stock items may be returned within 14 days of delivery with our prior written RMA authorization, subject to a restocking charge stated on the RMA and to the goods arriving in resaleable condition.
9. Limitation of liability
Computer Modules is not liable for lost profits, lost data, loss of use, cost of substitute equipment, or any indirect, incidental, special or consequential loss arising from the goods or these terms, however caused. Our total liability for any order is limited to the amount paid for that order. Nothing in these terms limits liability that cannot be limited by law.
10. Software and intellectual property
Software, firmware and drivers are licensed, not sold, under the terms of their respective owners. Product names are trademarks of their owners and we are an independent reseller.
11. Governing law
These terms and every order under them are governed by the laws of the State of California, without regard to its conflict of law rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts in San Diego County, California, have exclusive jurisdiction, except that we may seek payment or injunctive relief in any court with jurisdiction over the buyer.
12. General
If any provision is unenforceable the rest remains in force. Neither party is liable for delay caused by events beyond its reasonable control, including manufacturer allocation changes, carrier disruption and government action. Notices are in writing to the addresses on the quotation.
